International Corporate Governance: A Tool to Overcome Legal, Regulatory, Ethical, and Cultural Challenges in Internationalization of Business

Multinational companies, often abbreviated as MNCs, are companies that run and conduct business in multiple countries. They are active and influential on a global scale, with operations, influence, or recognition in multiple countries or regions typically have subsidiaries, branches, or affiliates in various countries around the world. Multinational companies are a product of the globalization of business and the expansion of markets beyond national borders. This places a spotlight on various legal, regulatory, ethical, and cultural challenges in the effectiveness of corporate governance faced in the internationalization of business by these MNCs. We often label it as challenges in effective implementation of International Corporate Governance in MNCs. International Corporate Governance, with respect to MNCs, denote to the system of rules, practices, and processes by these companies are directed, controlled, and managed at the global level during the internationalization of their business. It focuses, primarily on maximizing shareholder value, promoting transparency, accountability, and ethical behavior by protecting the interest of various stakeholders of the company. Though the concept of International Corporate Governance is a complex and evolving issue, it becomes essential for invoking investor confidence, economic stability, and long-term success of the MNCs in an interconnected world. At the outset, it is pertinent to note that MNCs often face unique challenges and issues in establishing corporate governance standards in the internationalization of their business in different countries due to diverse stakeholders, diverse legal and regulatory frameworks, cultural and ethical differences, governance discrepancies, lack of transparency in various countries, political and economic stability, and diverse business strategy. The authors in this research have made an effort to identify the various challenges faced by the MNCs and attempted to provide suggestions to overcome such challenges with the aid of International Corporate Governance.
