With limited options for using property as collateral, some issues arise when the crucial element of a pledge is the delivery of the secured property to the pledgee, and the crucial element of a mortgage is the secured property that must be registered. Such restrictions concern businessowners like those of small and medium-size enterprises who want to use their property, particularly business assets, as collateral without transferring the possession of such and with no side effects that would cause problems or disturb their business operations. Therefore, to help businesses acquire funds and loans with less difficulty, the legislators issued the Business Security Act BE 2558 (2015) to solve these problems and expand the legal conditions in the domain of security. With this act, businessowners can use their valuable property such as inventory materials, leasehold rights or intellectual property as collateral without having to hand over the property to the creditor, and are still able to make use of them in their business operations to gain profit, while the creditor has the alternative to enforce the secured property in a more effective way.
