D&O Liability in Switzerland: The Case for Statutory Limitations of Liability

In this chapter, I study D&O liability in Switzerland and make the case for statutory limitations of liability. After explaining and elaborating on economic principles of D&O liability, I take a comparative view of the legal framework in Switzerland and in the United States. A concrete reform proposal for Swiss D&O liability law, followed by some more general conclusions, rounds off the chapter.
