Digital Contracts: Legal Formalities and Contemporary Challenges

This chapter focuses on the dynamics of change in digital contracts with specific reference to the legal formalities necessary and the new challenges that come with the digital era. An attempt will be made to apply the traditional legal principles of consent, enforceability, and formality of contracts to digital agreements in an effort to draw together their similarities and differences with these modern forms of agreement. This also raises significant issues on legal formalities essential to validate digital contracts, covering factors like electronic signatures, modes of authentication of digital information, and the role played by digital platforms in the formation of contracts. The chapter also addresses the challenges brought about by rapid technological progression to include cybersecurity, data privacy, and the complexities of enforcing contracts across borders in a digital landscape. The contributions of international conventions and domestic legal systems to the adjustments needed for the increasing prevalence of digital contracts are surveyed in the second core component of this analysis- pointing to adaptive regulations and legal rules that are needed for the changed reality of digital transactions. Major challenges were seen to be that of ensuring consumer protection, integrity of the contract, and dispute resolution in the digital sphere. In short, the research provides a harmonious approach between established legal principles and modern technological developments that ensures the implementation of digital contracts effectively and safely in our gradually more digitized world. The study further argues for the need to adapt national and international legal frameworks to take into consideration the surging penetration of digital contracts, all within the ambit of ensuring legal certainty and fairness to all involved parties in such transactions.
