The primary objective of this study is to examine the concept of bonds or financial certificates, the process of issuing it, and the various entities involved in the securitization process. The findings shed light on the concept itself and underscored the significance of a robust regulatory framework that facilitates bonds or financial certificates issuance. It is crucial to note that legal and regulatory systems play a pivotal role in ensuring transparency and safeguarding the rights of all parties involved. In conclusion, the securitization process encompasses several key participants who assume vital responsibilities in the issuance of bonds or financial certificates. These participants include the organizer or issuer, who determines the terms and initiates the bonds or financial certificates issuance, the investors who acquire these bonds or financial certificates, and the law advisors who ensure compliance with the law concerned. Furthermore, there are additional parties such as agents and fund managers, who oversee bonds or financial certificates investments on behalf of investors, and underwriters, who guarantee subscription coverage in the event of insufficient demand from investors.
