A Systematic Review of Organisational Theories Explaining Roles of Governance Models, Typologies, and Frameworks

Corporate governanceCorporate Governance (Dawn Zaiter) (Ido Baum/ Jarosław Bełdowski) (Mariusz Jerzy Golecki) (Patrick Renz/Denis Imhof) (Phemelo Magau) (Sadie Blanchard) keeps on facing normative and strategic challenges through technology developments of the digital age, climate change, or global political developments which influence pressing issues regarding Corporate Social Responsibility (CSR) amongst others. Despite this complexity debates on the roles of corporate governanceCorporate Governance (Dawn Zaiter) (Ido Baum/ Jarosław Bełdowski) (Mariusz Jerzy Golecki) (Patrick Renz/Denis Imhof) (Phemelo Magau) (Sadie Blanchard) often rely on a singular underlying organizational theoryOrganizational Theory (Patrick Renz/Denis Imhof) if at all explicated. This leads to a mono-perspective understanding of corporate governanceCorporate Governance (Dawn Zaiter) (Ido Baum/ Jarosław Bełdowski) (Mariusz Jerzy Golecki) (Patrick Renz/Denis Imhof) (Phemelo Magau) (Sadie Blanchard) roles. Yet, only a multi-theory view as discussed by Hung or Huse adequately addresses today's ambiguity and complex systemic dynamics. The aim of this article is to create an updated typologyTypology (Patrick Renz/Denis Imhof) comparing and juxtaposing various board related organizational theories. This may broaden the foundational understanding of corporate governanceCorporate Governance (Dawn Zaiter) (Ido Baum/ Jarosław Bełdowski) (Mariusz Jerzy Golecki) (Patrick Renz/Denis Imhof) (Phemelo Magau) (Sadie Blanchard) and eventually influence CSR advancements. By means of a systematic literature reviewSystematic literature review (Patrick Renz/Denis Imhof) (SLR) the authors searched for peer-reviewed articles from high-quality academic journals or highly cited books which met the rigorous eligibility criteria, and which contribute to the aim of this article. The analysis shows that there are only a handful of contributions creating or further advancing such multi-perspective oversight. At the same time many articles call for other organizational theories beyond agency Theory (Patrick Renz/Denis Imhof)theoryAgency Theory (Patrick Renz/Denis Imhof) to be included in the governance debate. On this background the authors suggest an updated typologTypology (Patrick Renz/Denis Imhof)y including additional theories and findings from the SLR constituting an innovative and novel synopsis.
