This chapter analyzes the mechanisms of “technology commercialization,” such as licensing and the transfer of intellectual property assets. To succeed in this process, it is crucial to understand the characteristics of the technology, competitors, regulations, business risks, and economic conditions. The ability to design business strategies, assess risks, and negotiate plays a decisive role. Licensing agreements can take the form of transfer or license and cover different intellectual property rights. The decision to commercialize is based on the valuation of the technology and the reduction of associated risks. Finding interested parties, whether patent holders in the same field or companies with complementary solutions, is crucial. Preparation prior to negotiation is essential, considering factors such as technology, customer, market, patents, and research. Knowing the licensee and understanding the technology are fundamental aspects of achieving success in negotiation. A licensing agreement establishes the conditions for the third party to use and exploit the technology. Some key aspects of the content of the license, the type of license, the scope of application, the territory, the duration, the consideration, the termination, improvements, sublicensing rights, milestones, and annual reviews. These aspects are fundamental to establishing the rights and obligations of the parties involved and ensuring a beneficial and equitable relationship.
