Corporate Management System of Subsidiaries for Sustainable Development of Small Businesses

The authors believe that we need to develop a methodological approach to the modern corporate management system of subsidiaries that are small and medium-sized businesses, both from the point of view of the main company (parent company) – the subject of management, and from the point of view of the con-trolled company (subsidiary company) – the object of management. It will help to determine the goals and objectives of management activities, form the necessary bodies, appoint authorized persons to carry out certain corporate actions, man-age risks, distribute and minimize corporate and other property liability that may appear in the management process. The authors propose a typology of corporate management systems of subsidiaries, in which the main classification feature is the organizational and economic tool for making key corporate decisions. They also present a methodological approach to the modern corporate management system of subsidiaries that are small businesses, based on the currently relevant corporate management tools and corporate law institutions. Special attention has been given to the issues of managing the risks when bringing the parent company to property liability for making inappropriate management decisions in relation to the subsidiary, which result in losses or lead to bankruptcy.
