Representations, Undertakings and Events of Default

This chapter reviews the control part of the loan agreement. Highlights are the explanations of the role of repeating representations; the implications of the pari passu clause, the review of the role of the financial ratios and equity cure rights, the importance of the negative pledge and cross default clauses and the issues relating to the material adverse change clause.
